In these Marketplace & Sales Terms (the "Marketplace Terms"), "Florida Tapes," "we," "us," and "our" mean Big Develop Tech & Media, LLC d/b/a Florida Tapes ("BDTM"). These Marketplace Terms are part of and incorporated into the Florida Tapes Terms of Service and apply to everyone who browses, previews, buys, or sells on the Florida Tapes marketplace. Sellers of music are additionally bound by the Music Seller Agreement; buyers of music additionally receive the Buyer Music License. Physical merchandise ("merch") is sold under the separate Merch & Physical Goods Terms and Shipping & Returns Policy — the sections below describe the music marketplace unless stated otherwise.
The short version: Florida Tapes is a marketplace where independent, unsigned artists sell directly to listeners. For music, the artist owns the recording and grants the buyer a personal license; we run the store, process the payment as merchant of record, keep 20%, and pay the artist 80%. Listed music is exclusive — off free rotation, buyer-only — until the artist unlists it. Artists can also sell physical merch (10% platform fee, artist keeps 90%), covered by the Merch & Physical Goods Terms.
1. WHAT THE MARKETPLACE IS — AND WHAT WE ARE
1.1. A marketplace between artist and buyer. Every sale is a transaction between the selling artist (who owns the music and grants the Buyer Music License) and the buyer. Florida Tapes facilitates that sale: we host the listing, process the payment, deliver the music, and split the proceeds.
1.2. We are not a label. We are not the owner, author, publisher, or licensor of the music sold. We do not sign artists, take copyright, or acquire any interest in their catalog. Artists warrant to us and to buyers — under the Music Seller Agreement — that they own or control 100% of everything they list.
1.3. Merchant of record. For each marketplace sale, BDTM is the merchant of record: your charge is processed by us via Stripe, appears on your statement with our FLORIDATAPES descriptor, and we are responsible for the payment transaction, receipts, and any refund under the Refund Policy. Merchant-of-record status covers the transaction, not the music — copyright stays with the artist (Section 1.2).
1.4. Music and merch are governed differently. These Marketplace Terms describe the sale of music. Florida Tapes also lets artists sell physical merchandise — apparel, prints, accessories, and other goods — fulfilled through the artist's connected Printify account or by the artist directly. Merch is open to every artist (no eligibility gate), carries a 10% platform fee (artist keeps 90%), collects the buyer's shipping address at checkout, and is governed by the Merch & Physical Goods Terms and the Shipping & Returns Policy, which control over these Marketplace Terms for any merch purchase.
2. LISTINGS, EXCLUSIVITY & PREVIEWS
2.1. What can be listed. Eligible artists may list individual tracks or whole releases (albums, EPs, mixtapes, projects) under the Music Seller Agreement.
2.2. Listing removes it from free rotation. While a track or release is listed for sale it does not stream free, and does not appear in free public rotation — it is playable only by its buyers and the owning artist. Unlisting returns it to free rotation; completed purchases are unaffected.
2.3. Previews. Anyone may play a short preview (up to ~15 seconds) of listed music before buying. Previews are promotional, stream-only, and grant no license.
3. PRICING, CURRENCY & TAXES
3.1. Artist-set prices. The artist sets each price within the platform band: $1.99 to $500.00 per track and per release. All prices are in U.S. dollars (USD).
3.2. Price changes. Artists may change prices or unlist at any time. The price you see at checkout is the price you pay; completed purchases are never re-priced.
3.3. Taxes. Where we are required to collect sales or similar transaction taxes on a purchase, they will be shown at checkout and remitted by us. Sellers remain solely responsible for their own income and business taxes (Music Seller Agreement, Section 4.4).
4. PAYMENT & DELIVERY
4.1. Payment via Stripe. Payments are processed by Stripe. Your payment method details go to Stripe, not to us — we never store full card numbers. Your use of Stripe checkout is also subject to Stripe's terms.
4.2. When the sale is complete. Your purchase contract forms when payment is confirmed. Delivery is immediate and digital: the music appears in your Library for streaming and becomes available for download — see the Buyer Music License, Section 2. If payment fails, nothing is delivered and no contract forms.
4.3. The split. Florida Tapes retains 20% of the gross sale price as its platform fee and absorbs card-processing costs out of that share; the artist receives 80%, paid via Stripe Connect.
5. AVAILABILITY & DELISTING
5.1. Listings can end. A track or release may be delisted or removed at any time — by the artist (unlisting, catalog changes) or by us (enforcement, infringement takedowns under the Marketplace Infringement & DMCA Policy, legal compliance, or platform changes). We do not guarantee that any listing remains available, at any price, for any period.
5.2. Purchases survive delisting. If music you bought is later delisted by the artist, you keep your license, Library streaming, and downloads.
5.3. Infringement removals are different. If music is removed because the seller had no right to sell it, streaming access may end and you will be refunded in full under the Refund Policy.
5.4. No warranty of the marketplace. The marketplace is provided "AS IS" and "AS AVAILABLE." The disclaimers and limitation of liability in Sections 10 and 11 of the Terms of Service apply in full.
6. ACCOUNTS, CONDUCT & BANS
6.1. Account required. Buying requires a Florida Tapes account in good standing. Your Library and purchase records are tied to your account — see the Terms of Service for account rules.
6.2. Buyer conduct. Buyers must use purchased music only within the Buyer Music License. Redistribution, resale, ripping previews, circumventing purchase controls, payment fraud, and chargeback abuse are prohibited and may result in suspension or termination of your account and revocation of licenses obtained through fraud.
6.3. Seller conduct. Sellers are bound by the Music Seller Agreement, including its permanent lifetime ban for selling — or attempting to sell — music the seller does not fully own or control, its payout-withholding and forfeiture terms, and its indemnification of Florida Tapes and BDTM.
6.4. Ban evasion. Accounts created to evade a suspension or ban will themselves be terminated.
7. REFUNDS & CHARGEBACKS
Digital music sales are generally final once delivered. The exceptions (duplicate charge, non-delivery, proven infringement) and the request process are in the Refund Policy. Please contact info@bigdevelop.com before disputing a charge with your bank — we resolve legitimate problems faster than a chargeback does.
8. THE DOCUMENT STACK
For clarity, marketplace activity is governed by, in order of specificity: these Marketplace Terms and the Terms of Service (everyone); the Music Seller Agreement and Artist Upload Agreement (music sellers); the Buyer Music License and Refund Policy (music buyers); the Merch & Physical Goods Terms and Shipping & Returns Policy (everyone buying or selling physical merch); and the Copyright & DMCA Policy plus the Marketplace Infringement & DMCA Policy (rights holders and enforcement).
9. CHANGES; GOVERNING LAW; CONTACT
9.1. We may update these Marketplace Terms; material changes will be posted with a new "Last updated" date. The version in effect at the time of a purchase governs that purchase.
9.2. These Marketplace Terms are governed by the law of the State of Florida; disputes are resolved under Section 13 of the Terms of Service (informal resolution, then binding individual arbitration seated in Orange County, Florida, with its class-action waiver and opt-out).
